1. Company formation, registration of changes
- We prepare all documents required for company formation or amendments, including name reservation applications, articles of association and their amendments, minutes, signature specimens, declarations, and other related documentation.
- We draft share purchase agreements and stock purchase agreements for the acquisition of ownership interests in companies.
- We manage the establishment of branches and the registration of direct commercial representations of foreign undertakings.
- We undertake the preparation and legal review of a company’s internal regulations (e.g. organisational and operational rules, internal policies and procedures).
- We prepare the minutes and related legal documentation of corporate events required during the operation of the company, including members’ meetings and general meetings.
- We undertake the management of company transformations and terminations.
- In connection with the above, we represent our Clients in company court proceedings.
Company registration and registration of changes are subject to duties and publication fees. The applicable duties and fees vary depending on the procedure and the legal form of the company. We inform our Clients that it is now possible to opt for a simplified company procedure, under which the duties are significantly lower and the administrative deadlines are much shorter than in the general procedure.
We also inform our Clients that paper-based administration has been discontinued as of 1 July 2008, and electronic company procedures have become exclusive. Company formation and registration of changes are therefore carried out using specialised software, with the application of electronic signatures and time stamps. As a result, company courts have been relieved of part of their workload, and procedures have become faster and more transparent.
2. Legal representation in corporate law disputes
- We provide legal representation in all disputes arising from the corporate relationship between a business association and its members (shareholders).
- We represent Clients in disputes between members (shareholders) in relation to the articles of association (bylaws, deed of foundation) or in connection with the operation of the company.
- We act in court proceedings for the judicial review of resolutions adopted by the supreme body of a company, which may be initiated by any executive officer or supervisory board member.
- We provide representation in court proceedings relating to the registration of a de facto group of companies as a recognised group of companies.
3. Management of receivables and debt collection
- We provide legal representation from the issuance of the first payment notice through to the conduct of potential liquidation proceedings.
- We represent our Clients in debt collection proceedings, including payment order procedures and civil litigation for the enforcement of claims.
